The attached file sets out the Memorandum and Articles of Association which apply to the Company. The Memorandum constitutes the Company's charter with the outside world and sets out the objects of the Company, the address of the registered office, the share capital and liability of the company. The Articles set out the Company's regulation for its internal management covering matters such as the rights of shareholders, procedures to be followed on the issue or transfer of shares, rights attaching to shares, the appointment, removal and powers of the directors and the conduct of Board and General Meetings.
